Terms of Service and End User License Agreement

These Terms of Service and End User License Agreement (the "Terms") govern access to and use of MaidCRM (the "Service"), a private, internal business operations and accounting application operated by SerpInsider, the operator of MaidCRM and its affiliated residential cleaning brands (the "Operator", "we", "us", or "our"). MaidCRM is hosted at maidcrm.com. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Private internal tool
MaidCRM is not a public or general-purpose product. It is a private tool built and operated by the Operator for the Operator's own staff, including the owner, virtual assistants, the accountant, and other authorized personnel and contractors. It is used to run day-to-day operations across the Operator's cleaning brands, including lead intake, scheduling, customer communication, cleaner-side onboarding, payouts, and internal accounting and reporting. Access is granted only to authorized users on a need-to-use basis. The Service is provided for the Operator's internal business purposes and is not offered for sale, resale, or general public registration.
2. Accounts and access
Access requires an account provisioned and authorized by the Operator. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify the Operator promptly of any unauthorized access or use. The Operator may create, modify, suspend, or revoke accounts and access levels at any time at its sole discretion. Each user's access is limited to the roles and data appropriate to that user's function.
3. Acceptable use
You agree to use the Service only for the Operator's legitimate internal business purposes. You agree not to:
- Access, copy, or export data you are not authorized to handle.
- Share credentials or grant access to any unauthorized person.
- Attempt to probe, scan, or breach the security of the Service, or circumvent any access controls or authentication.
- Use the Service or any data within it for any purpose outside the Operator's business, including any unlawful purpose.
- Interfere with or disrupt the integrity or performance of the Service or the data it contains.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that restriction is prohibited by applicable law.
4. License
Subject to these Terms, the Operator grants authorized users a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for the Operator's internal business operations during the period the Operator authorizes such access. This license confers no ownership rights and may be revoked at any time.
5. Intellectual property
The Service, including its software, design, content, and all related intellectual property, is and remains the exclusive property of the Operator and its licensors. Third-party services integrated into MaidCRM (including QuickBooks Online and Intuit, Stripe, Resend, OpenPhone, Clerk, and Google) remain the property of their respective owners and are subject to their own terms. Nothing in these Terms transfers any ownership of the Service or any third-party property to you.
6. Third-party integrations
MaidCRM connects to third-party services to perform its functions. Where MaidCRM connects to a third party on the Operator's authorization (for example, reading accounting data from a connected QuickBooks Online account through the Intuit API), that connection is governed by both these Terms and the third party's own terms of service. The Operator is responsible for maintaining valid authorization for each connected account and may disconnect any integration at any time. 7. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. The Operator does not warrant that the Service will be uninterrupted, error-free, or secure, or that any data displayed (including financial or accounting figures read from connected third-party systems) is complete or accurate for any particular purpose. Users are responsible for verifying financial data against authoritative sources before relying on it.
8. Limitation of liability
To the maximum extent permitted by applicable law, the Operator and its personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, the Operator's total aggregate liability arising out of or related to the Service will not exceed one hundred United States dollars (USD 100).
9. Termination
The Operator may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to access and use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) survive.
10. Changes to these Terms
The Operator may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
11. Governing law
These Terms are governed by and construed in accordance with the laws of the United States and the state in which the Operator is principally located, without regard to conflict-of-law principles.
